1. Introduction

Welcome to PhoenixZ. These Terms of Service govern your access to and use of PhoenixZ, an audio-first social platform for live conversations and communities. By creating an account or using PhoenixZ, you agree to these Terms. If you do not agree, do not use PhoenixZ.

2. Eligibility

To use PhoenixZ, you must:

• Be at least 13 years old and satisfy any higher minimum age, parental consent requirement, or other age requirement applicable in your country or jurisdiction
• Have the legal capacity to enter into these Terms
• Not be prohibited from using PhoenixZ under applicable law
• Not have been previously banned from PhoenixZ for Terms violations

PhoenixZ is not designed as a children's service.

3. Accounts

You may create an account using email and password or supported authentication providers such as Google Sign-In. You must:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Not share your account or allow others to access it
• Accept responsibility for all activity under your account

4. User Conduct

You agree not to:

• Violate applicable laws or regulations
• Post or transmit illegal content
• Harass, threaten, abuse, or intimidate other users
• Promote hate, violence, or discrimination
• Sexually exploit or endanger minors
• Impersonate any person or entity
• Engage in spam, scams, or fraud
• Infringe intellectual property rights
• Violate privacy or confidentiality
• Interfere with or disrupt PhoenixZ or its infrastructure
• Attempt to gain unauthorized access to PhoenixZ
• Use automated systems or bots without authorization
• Attempt to evade moderation, restrictions, or bans

5. User Content License

You retain ownership of content you create on PhoenixZ. By posting or sharing content, you grant us a limited, non-exclusive, royalty-free, worldwide license to host, store temporarily where applicable, display, transmit, reproduce, technically process, and distribute your content solely to operate, provide, secure, and improve PhoenixZ.

This license does not transfer ownership of your content to PhoenixZ. This license ends when you delete your content or account, except where content must be retained for legal, safety, or security purposes as described in our Privacy Policy.

6. Moderation and Enforcement

We may moderate content and user activity to enforce these Terms, protect users, investigate abuse, prevent fraud and security threats, comply with legal obligations, and maintain platform integrity. Moderation actions may include:

• Content removal
• Warnings
• Feature restrictions
• Temporary suspension
• Permanent account termination

Room hosts and moderators have authority to manage their rooms, including removing participants, muting users, and restricting access.

7. Reporting and Blocking

You may report content or users that violate these Terms. We investigate reports in accordance with our moderation processes. You may block users to prevent them from interacting with you.

8. Intellectual Property

PhoenixZ, including all content, features, design, and functionality, is owned by PhoenixZ or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or reverse-engineer PhoenixZ without authorization.

9. Third-Party Services

PhoenixZ integrates with third-party services, including authentication providers, infrastructure providers, and live audio infrastructure. Your use of these services may be subject to their respective terms and privacy policies. We are not responsible for third-party services.

10. Disclaimers

PhoenixZ is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee uninterrupted or error-free service, accuracy or reliability of user-generated content, or that defects will be corrected. User-generated content belongs to users, not PhoenixZ.

11. Limitation of Liability

To the maximum extent permitted by applicable law, PhoenixZ, its operators, affiliates, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, use, goodwill, or other intangible losses.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

12. Suspension and Termination

We may suspend or terminate your account for serious or repeated Terms violations, abuse, fraud, illegal activity, security threats, attempts to circumvent restrictions, or other legitimate safety or platform reasons.

Upon termination, your right to use PhoenixZ immediately ceases. You may also choose to delete your account at any time.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, except to the extent that mandatory laws applicable to a user cannot lawfully be excluded or overridden. Any disputes arising from these Terms shall be subject to the courts of England and Wales, to the extent permitted by applicable law.

Nothing in these Terms affects your statutory rights as a consumer that cannot be contractually waived or limited.

14. Changes to These Terms

We may modify these Terms by posting updated Terms and updating the "Last Updated" date. Material changes will be communicated through PhoenixZ or by email where appropriate. Your continued use after changes constitutes acceptance of updated Terms.
